The Governance Gap Most Mid-Market Companies Are Ignoring
Your team is already using AI. The question is whether they're doing it in ways that could expose your business to legal liability, data breaches, or decisions you can't explain to a regulator.
This isn't a hypothetical. A mid-sized Australian financial services firm recently discovered that several staff members had been pasting client data into a public large language model to speed up report drafting. No malicious intent - just people trying to do their jobs faster. The firm had no policy in place, no training, and no audit trail. They got lucky that nothing went wrong. Many organisations won't.
For mid-market companies - typically those with 50 to 500 employees - AI governance sits in an awkward position. You're large enough to face real regulatory and reputational risk, but you don't have the legal teams and dedicated compliance departments that enterprise companies rely on. You need an ai governance policy that's practical, enforceable, and doesn't require a team of lawyers to maintain.

Why Generic Policies Fail
Most AI policies that mid-market companies cobble together fall into one of two traps.
The first is the "thou shalt not" approach - a blanket prohibition on AI tools that staff simply ignore because the tools are genuinely useful. If your policy says "do not use AI without approval" but approval never comes, you've created a compliance fiction. People work around it, and you lose visibility into what's actually happening.
The second trap is copying an enterprise policy designed for a company ten times your size. These documents are often 40 pages long, reference governance committees that don't exist in your organisation, and require quarterly audits that nobody has time to run. They get filed and forgotten.
A workable ai governance policy for a mid-market organisation needs to be proportionate. It should answer three questions clearly: what tools are approved for what purposes, what data can and cannot be used with those tools, and who is accountable when something goes wrong.
Start With a Tool and Risk Register
Before you write a single policy clause, you need to know what AI tools your organisation is actually using. This is almost always more than leadership expects.
Run a simple audit. Ask every team to list the AI tools they use, how often, and what they use them for. Include browser extensions, built-in features in existing software (Microsoft Copilot, Salesforce Einstein, Adobe Firefly), and standalone tools like ChatGPT, Claude, or Midjourney. You will find tools that IT doesn't know about and use cases that weren't anticipated when software was purchased.
Once you have that list, assign each tool a risk tier:
- Low risk - Tools used for internal productivity with no sensitive data (drafting internal communications, summarising public information, generating code with no customer data)
- Medium risk - Tools that touch internal business data but not regulated or sensitive information (analysing sales data, drafting marketing copy from internal briefs)
- High risk - Tools that interact with personal information, financial data, health records, or anything subject to regulatory requirements
This register becomes the backbone of your policy. It tells you where to focus controls and where you can give staff reasonable freedom to work efficiently.
Define Data Handling Rules Clearly
Data handling is where most AI governance failures actually occur. The rules need to be specific enough that a staff member can apply them without calling legal every time.
A practical starting point is a simple classification:
Never input into external AI tools:
- Customer personal information (names, contact details, account numbers)
- Financial records or transaction data
- Health information
- Commercially sensitive information (pricing models, unreleased product details, M&A activity)
- Any data covered by a confidentiality agreement
Acceptable with approved tools only:
- Anonymised or aggregated internal data
- Publicly available information
- Internal documents that don't contain the above categories
Acceptable with any approved tool:
- Drafting from scratch with no sensitive inputs
- Summarising public research
- Generating images or code that don't incorporate confidential information
The key word throughout is "approved." Your policy should maintain a short, current list of approved tools with the conditions under which each can be used. A Google Doc or Confluence page that someone actually maintains is more useful than a PDF that's out of date six months after publication.

It shows three columns: the approved tool, what you can use it for, and what data you must never input. Simple, visible, and actually used.
Assign Accountability Without Creating Bureaucracy
Enterprise AI governance frameworks often call for an AI Ethics Committee, a Chief AI Officer, and a dedicated review board. For a 150-person company, that's unrealistic.
What you need instead is clear ownership at two levels.
Operational ownership sits with team leads or department heads. They're responsible for ensuring their team understands and follows the policy, reporting any incidents or near-misses, and flagging new tools they want to use. This doesn't require a new role - it's an extension of existing management accountability.
Policy ownership sits with one person - typically the COO, CTO, or whoever owns technology and risk in your organisation. This person reviews the tool register quarterly, updates the approved tool list as the market changes, and handles any escalated incidents. Realistically, this takes a few hours per quarter once the initial framework is in place.
Document the accountability clearly in the policy itself. "If you're unsure whether a use case is covered, ask [role]" is more useful than a vague reference to "the appropriate authority."
Build an Incident Response Process
Things will go wrong. Staff will accidentally paste customer data into the wrong tool. An AI-generated output will contain a factual error that makes it into a client report. A vendor will change their data retention terms without adequate notice.
Your ai governance policy needs a simple incident response process so that when these things happen, staff know what to do and the organisation can respond quickly.
A lightweight process for mid-market organisations:
- Identify - Staff member recognises a potential AI-related incident (data sent to wrong tool, output relied on without verification, tool used outside approved parameters)
- Report - Immediate notification to team lead, who notifies the policy owner within 24 hours
- Assess - Policy owner determines whether personal data was involved (triggering potential notification obligations under the Privacy Act), whether a client needs to be informed, and what the immediate remediation is
- Document - Brief record of what happened, what data was involved, and what action was taken
- Review - If the incident reveals a gap in the policy or training, update accordingly
The Privacy Act 1988 and the Notifiable Data Breaches scheme apply here. If personal information is involved in an AI incident, you may have notification obligations to the Office of the Australian Information Commissioner and to affected individuals. Build this into your process explicitly rather than discovering it after the fact.
Train Staff on the Policy, Not Just the Rules
A policy document that lives on the intranet and gets referenced once during onboarding is not governance - it's documentation. The difference between a policy that works and one that doesn't is whether staff actually understand it and feel equipped to apply it.
For mid-market organisations, training doesn't need to be elaborate. A 30-minute session for each team, run by the team lead with support from the policy owner, is sufficient to cover:
- What tools are approved and why others aren't
- The data classification rules with worked examples from that team's context
- What to do if they're unsure or if something goes wrong
- Why the policy exists (not just that it does)
That last point matters more than people expect. Staff who understand that the policy exists to protect the company from genuine legal and reputational risk - and to protect them from inadvertently causing that risk - are more likely to follow it than staff who see it as compliance overhead.
Refresh the training annually, or sooner if there's a significant change to the tool landscape or a notable incident. The AI tool market is moving fast enough that a policy and training programme from 18 months ago is likely already out of date in meaningful ways.

If your organisation doesn't have a formal ai governance policy in place, the priority order is straightforward:

Run the tool audit this week. Send a short survey to team leads asking what AI tools their teams use and for what purposes. You need this information before you can write anything meaningful.
